Tutor Licence Agreement

1. Our relationship with tutors

1.1. We do not have authority to act as agents for our clients in making contracts with you.

1.2. Our service is intended to help our clients engage tutors as well as provide a platform that will allow them to use other services if they wish to do so, for example by employing: Twilio for communications, Lessonspace for having and recording online classes, and Stripe as a payment processor for those classes, though the mix of services may change from time to time and we make no guarantees about service availability to our clients.

1.3. Accordingly, we do not offer any services to tutors. In particular, we do not offer to find you work. Likewise, as a self-employed individual you are not obliged to accept any introductions which may be offered. You are not obliged to make your services available at any time. You are welcome to use our platform if, in doing so, you do not break any of the terms of this licence, but our relationship with you is not contractual. In other words, you do not owe us any contractual duties; nor do we owe you any.

1.4. If you agree to an engagement by one of our clients, it will be on terms you agree with them. We are not a part of that relationship and do not act as either your agent, or the client’s agent. Please note that our clients may be offered multiple potential tutors, and the decision as to which tutor to work with will ultimately be theirs.

1.5. We will, if requested by a client, try to help the client resolve any dispute they may have with you about the services you provided, but the best we can do is mediate.

1.6. In particular, we are not responsible for payment. Our platform provides support for invoicing and payment collection by tutors to make it easier for clients to engage tutors, but any payments processed through this platform will not be under our control, and any disputes about payment will be between you and the client. We reserve the right to change the payment platform at our discretion.

1.7. You are responsible for accounting for any taxes that may be due in respect of the sums paid by students to you, this applies not only to income related taxation (such as UK income tax and national insurance contributions) but to taxes of any other kind arising out of your fees, including any withholding or value added tax that may be due. Our system assumes that UK VAT is not due on your fees. If you do become registered for UK VAT it is a condition of your continued use of the platform that you inform us of the fact.

1.8. Since our relationship is not contractual, we have absolute discretion as to whether to admit you as a tutor or to permit you to continue to use the platform. Nothing in this licence should be construed as any promise by us to act in a particular way.

1.9. Nothing in this Licence restricts you from seeking tuition opportunities through other marketing platforms or introduction agents, or through your own efforts.

2. Listing

2.1. We may suspend the listing of tutors (which may include their access to the platform or any part of it), for a period of time or indefinitely, for any lawful reason, without explanation, if we choose to do so. If we do choose to explain why we have suspended a tutor, we make no guarantee that we will do so on any subsequent occasion.

2.2. Suspension does not indicate that you have done anything wrong. We may, for example, have too many of a particular class of tutor, or have decided not to offer a particular subject area.

3. Licence conditions

3.1. We permit you to use the platform on the following conditions:

3.1.1. You do not breach our "code of conduct" and you follow our “guidance for tutors”.

3.1.2. You do not act in a way that is unprofessional, for example by failing to make every effort to attend classes, or failing to explain your absence to a client.

3.1.3. You do not use the platform to commit fraud, for example by claiming fees to which you are not entitled, or to carry out any other illegal activity.

3.1.4. You inform us of your VAT status and any changes to it, whether acting as a sole trader or a limited liability company.

3.1.5. You are not subject to any restriction which would prevent you from engaging in teaching or pastoral care, either privately or as an employee of any educational institution whether primary, secondary or tertiary, including restrictions which would not appear in an enhanced check by the Disclosure and Barring Service or Disclosure Scotland, or local equivalent if based outside the UK.

4. Evidence

4.1. We will routinely ask prospective tutors to provide us with evidence we believe is necessary to determine whether they are suitable for, or meet the requirements of, our clients. For example, we will routinely ask for evidence supporting an enhanced disclosure and barring service (DBS) check or the non-UK equivalent and professional references.

4.2. We will also routinely ask prospective tutors to provide us with evidence of their identity and registered address. For more information on the purposes for which this data is processed, and the basis for that processing, please see our privacy policy
